Terms and Conditions of Service

Governing the provision of services under the ROVA Model: Rent, Operate, Vend, and Assure.

Preamble

These Terms and Conditions (“Agreement”) govern the relationship between AET POWER SOLUTIONS LTD (“AET POWER”, “Provider”, “We”) and the user of our services (“Client”, “You”).
AET POWER SOLUTIONS operates under the strategic Resilience Framework: Protect, Adapt, and Invest. By engaging our services, the Client acknowledges that our primary objective is to eliminate downtime and complexity through the ROVA (Rent, Operate, Vend, Assure) model.
Acceptance of these terms constitutes a binding agreement to adhere to the operational protocols necessary for continuous power supply, peak load management, and asset integrity.

TERMS & CONDITIONS

1. Definitions & Interpretation

1.1 “ROVA Model” refers to the integrated service delivery framework comprising Rental, Operations, Vending, and Assurance services.
1.2 “Power-as-a-Service (PaaS)” means the provision of electricity where AET POWER retains ownership of the generation infrastructure, and the Client pays for capacity or energy consumed.
1.3 “Peak Shaving” refers to the use of supplementary power sources (Industrial Power Boost) to reduce grid consumption during periods of maximum demand to lower costs.
1.4 “Emergency Power System” refers to rapid deployment units intended to restore operations immediately following a grid failure or outage.

2. Power Rental Services

2.1 Equipment Deployment & Usage
AET POWER shall provide high-capacity generators or energy storage systems as specified in the Service Order. The Client agrees to use the equipment solely for the designated purpose (e.g., event power, construction site, or industrial standby).
2.2 Industrial Power Boost & Load Management
For clients utilizing our Industrial Power Boost services for peak load management:
The Client must provide accurate load profiles to ensure proper sizing of the supplementary power.
AET POWER allows for synchronization with the national grid where regulatory approval exists, specifically for peak shaving operations.
2.3 Emergency Deployment
While AET POWER maintains a fleet for Emergency Power Systems, guaranteed response times are subject to a separate Service Level Agreement (SLA). Rapid deployment is contingent upon site accessibility and safety clearance.
2.4 Care and Custody
The Client acts as the custodian of the rental assets while on site. The Client is liable for any physical damage caused by negligence, vandalism, or unauthorized operation, excluding normal wear and tear.

3. Operations & PaaS

3.1 Power-as-a-Service (PaaS) Model
Under the PaaS agreement, AET POWER retains full title to all generation infrastructure. The Client’s payment obligation is strictly operational (OpEx), based on energy metered (kWh) or capacity availability (kVA) as defined in the contract.
3.2 24/7 Facility Management
AET POWER technical teams require unimpeded access to the power infrastructure 24/7 to ensure continuous power availability. The Client must provide necessary security clearance for our personnel.
3.3 Fuel Management
Unless explicitly stated otherwise, AET POWER manages fuel logistics to ensure quality and prevent contamination. Utilization of third-party fuel without AET approval may void performance guarantees regarding continuous power supply.

4. Vending & Revenue Collection

4.1 Tariff Management
For mini-grids and estates, tariffs are determined based on generation costs, maintenance, and regulatory guidelines. AET POWER reserves the right to adjust tariffs with prior notice based on fuel price volatility or inflation, in accordance with applicable laws.
4.2 Smart Metering & Billing
Billing relies on data from installed smart meters. In the event of a meter malfunction, billing will be estimated based on the historical average of the previous three months. Clients must report meter tampering immediately; unauthorized bypassing is grounds for immediate disconnection.
4.3 Payment Obligations
Vending Services operate primarily on a pre-paid basis to ensure revenue assurance. Post-paid agreements require a security deposit equivalent to one month’s estimated consumption.

5. Service Assurance

5.1 Asset Management & Lifecycle
AET POWER conducts proactive lifecycle tracking and optimization. While we strive to extend asset life, the Client accepts that planned maintenance shutdowns are necessary for long-term reliability. We will provide 48 hours notice for scheduled maintenance, except in emergencies.
5.2 Grid Infrastructure Support
Our support extends to the maintenance of connection points to the national grid (transformers, switchgear). However, AET POWER is not liable for the availability or quality of power supplied by the national grid (DisCos), unless a UPS or battery backup system is explicitly contracted to bridge such gaps.
5.3 Performance Monitoring Data
AET POWER collects telemetry data regarding power quality and efficiency. This data remains the intellectual property of AET POWER, used to improve UPS maintenance schedules and general power supply optimization.

6. Liability, Indemnity & Termination

6.1 Limitation of Liability
AET POWER shall not be liable for any indirect, consequential, or special damages (including loss of profit or data) arising from power interruptions, except where caused by gross negligence or willful misconduct by AET personnel.
6.2 Force Majeure
Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, war, or nationwide fuel scarcity (subject to reasonable mitigation efforts).
6.3 Termination
Either party may terminate the agreement with written notice as specified in the contract (typically 30 days). Immediate termination may occur upon breach of payment terms (Vending) or safety violations (Operations)
